De Curaçaose Beleggingsvennootschap en uw vermogensbeheerder
De Curaçaose Beleggingsvennootschap (CBV) (vroeger: vrijgestelde vennootschap) is een vehikel dat onder voorwaarden is vrijgesteld van winstbelasting. Die voorwaarden zijn onder meer dat sprake moet van afgeperkte activiteiten -zowel in de doelstelling als ook feitelijk- en dat de vennootschap als CBV is aangemeld bij de fiscus. Er bestaat wel de plicht tot het opstellen van een jaarlijkse jaarrekening en ook tot het doen van een jaarlijkse aangifte winstbelasting. Voor de meeste aandeelhouders in Curaçao geldt dat dividenden dan niet worden belast maar dat er een fictief rendement over het vermogen van de CBV in aanmerking wordt genomen. Dat geldt overigens expliciet niet voor degenen die op Curaçao onder de penshonadoregeling vallen.
Verder dient de vennootschap haar inkomsten te verkregen uit landen waarin een zekere mate van belasting naar het inkomen plaatsvindt. En daar zou het soms wel eens mis kunnen gaan. Een vennootschap waarbij wij betrokken zijn had dividenden ontvangen uit onder meer de Marshall eilanden en nog wat andere plekken op de wereld waar heffingen naar het inkomen helemaal niet plaatsvinden. In beginsel verlies een CBV dan haar vrijgestelde status zij het dat de wet bepaalt dat indien dergelijke inkomsten beperkt blijven tot 5 procent van de totale inkomsten de vrijgestelde status in stand kan blijven.
Hoe kan de fiscus nou constateren hoe dat zit behalve door nauwgezet een jaarrekening tot zich te nemen? Welnu, bij de jaarrekening moet telkens een zogenaamde deskundigenverklaring gevoegd worden die aangeeft dat de vennootschap voldoet aan de wettelijke eisen en indien er inderdaad inkomsten zijn aangetroffen uit genoemde laag-of niet belaste landen moet getoetst worden of dit aan de vrijgestelde status in de weg staat.
Dat betekent dat indien u belanghebbende bent bij een CBV en u heeft uw vermogensbeheerder de vrije hand gegeven ten aanzien van de vraag hoe de beleggingsportefeuille er uit moet zien het wel zaak is om er aan te dringen dat hij niet teveel stukken uit laagbelaste landen opneemt want dan bent u, zoals dat heet, goed in de aap gelogeerd. Immers, zonder vrijgestelde status ook geen fictief rendement meer waardoor dividenden anders in de heffing van inkomstenbelasting worden betrokken.

How to file a profit tax return or who is in the driver's seat?
More than once I have been told that our offices form an atypical law firm.
Insofar as that refers to us being out of the box thinkers I consider that a compliment.
Of course I know from a certain perspective that is true.
This tax law firm came into life in 2001 and since that moment we have sailed our own course.
We take the tax authorities to the court more often than many colleagues seem to do and also we pride ourselves in weighing the costs of implementing our tax advice against the probable fiscal benefit.
Tax advice should be simply about saving you money and should not be principle driven.
In court principles of legislation can support your case but that is something else.
Apart from these high-brow court proceedings and interesting tax advice we also take care of your tax filing needs. We file your income tax, your profit tax and (hopefully not your) estate tax.
Here we also seem to be somewhat different compared to our colleagues. In most cases we do not just receive your company's financials and turn that into a profit tax return. If we would merely do that we would have no added value. The basis of a good profit tax return is a good financial statement meaning a balance sheet, a profit and loss sheet and explanatory notes and hopefully a statement from an accountant that says something about the level of trust that can be obtained from these financials.
So, to make a short story somewhat longer we would like to put our 5 cents worth in before your financial statements a being finalized as these statements form the foundation of the profit tax return.
We want to be in the driver's seat as the quality of the financials directly influence the quality of your profit tax return.

Tax consequences of leaving Curacao
Due to Covid-19 a lot of people are contemplating whether to stay on Curacao or not once the travel ban has been lifted.
This is a word of warning for those who would want to leave and has to do with the difference between wage tax and income tax.
Wage is tax in being withheld from your wages and this wage tax can be compensated against your income tax. The taxes are however calculated differently and this can play an important role when you are leaving the island especially if you do not against the end of the year.
Allow me to elaborate.
Wage tax is simply calculated on your (monthly of bi-weekly) wage. Income on your year income. The Curacao income tax however has one little very nasty rule about its calculation once leave the island. Say you intend to leave the island on July 1 and were living in Curacao from January 1 on. You have then lived exactly half a year in Curacao.
For the calculation of your income tax the tax inspector will then first calculate your income tax on the basis of a full year income and then divide that by 2. That calculation will increase the income tax due.
Why is that? Very simple because the income tax has a progressive rate. The more you make the higher the percentage. Remember the wage tax was only withheld on your monthly income. So now you may fall into a higher tax bracket which makes that your income tax may be higher than the wage tax withheld.
Something to take into consideration while pondering on staying or leaving. The AOV has a fixed monthly maximum so you do not have to worry about that one.

Brandbrief aan onze regering
Curaçao is een
zogenaamde small island state ook wel aangeduid als micro-state. Kleine landen
hebben vanwege hun schaal altijd bijzondere problemen. Wanneer je het aantal
inwoners hebt van een middelgrote stad maar de beslommeringen van een land
staat een dergelijk land per definitie voor uitdagingen. De kleine landen die
dat in mindere mate hebben zijn op de vingers van 1 hand te tellen. Je kan dan
denken aan Monaco, Liechtenstein en San Marino bijvoorbeeld. Die landen hebben
bepaalde problemen niet omdat het er of economisch goed gaat of dat een aantal
taken door een groter zusterland worden gedragen. Ook kan zich een combinatie
van economisch welzijn voordoen met toch de bijstand van de grote zuster.
Liechtenstein steunt op Oostenrijk, Monaco op Frankrijk en San Marino op Italië.
Daarnaast geldt dat in deze minilanden het gemiddeld inkomen relatief hoog
ligt.
Curaçao is een
klein land met een luchthaven, een haven een dienst buitenlandse betrekkingen
en een historisch zo gegroeid relatief groot ambtenarenapparaat. Daarnaast
beweegt het gemiddelde inkomen zich bepaald aan de lage kant. Dat betekent
relatief lage belastingopbrengsten. Anderzijds is de druk van sociale premies
ongekend hoog. Sociale premies worden rondgepompt in de samenleving waardoor je
daar als land niets aan hebt om bijvoorbeeld onderwijs en infrastructuur in
stand te houden.
Recent deden zich
opvolgend een aantal problemen voor. De aftakeling van de financiële
dienstverlening is onder druk van buiten ingezet vanaf 1993. Het financiële
offshore-systeem vertoonde eind 2019 haar laatste stuiptrekking. Verder
eindigde de overeenkomst met PdVSA per eind 2019. Als dat al niet genoeg
ellende met zich bracht werd vervolgens in augustus 2019 de belastingontvanger
getroffen door een brand die de gehele fiscus wist lam te leggen. We schrijven
nu april 2020 en de gevolgen van deze brand zijn wij nog immer niet te boven.
Vorig jaar was
eindelijk ons nieuwe ziekenhuis gereed. Naar wij begrijpen is dat gepaard
gegaan met enorme budgetoverschrijdingen en is het ziekenhuis op een onlogische
plek gebouwd. De premies ziekteverzekering die door lokale verzekeraars worden
aangeboden zijn meteen forse percentages gestegen.
Maar daar bleef
het niet bij. De wereld werd getroffen door Covid-19 waardoor op Curaçao de
laatste strohalm -toerisme- kwam stil te liggen.
De fiscale
afbreuk van de financiële dienstverlening werd geformaliseerd met de
inwerkingtreding van het Nieuw Fiscaal Raamwerk in 2002. In december 2019 was
de wetgever nog druk doende om de laatste aanpassingen aan onze fiscale
wetgeving te schrijven zodat wij in 2020 een internationaal gezien aanvaardbare
wetgeving konden presenteren.
Hoewel ook al
jaren bekend was dat de overeenkomst met PdvSA in 2019 zou eindigen kwam eerst
eind 2019 de Klesch groep in beeld al redder van onze raffinaderij. Het is maar
zeer de vraag of de raffinaderij ooit weer de lucht in komt. Een raffinaderij
schijn je niet eenvoudig weer te kunnen opstarten nadat deze langere tijd heeft
stil gestaan. Ook is de ontwikkeling van de oliemarkt niet erg bemoedigend en
kun je je afvragen of een raffinaderij en toerisme niet strijdig met elkaar
zijn. Nog even los van de vraag of fossiele energie de toekomst heeft. We weten
allemaal het antwoord op die vraag.
Terugkerende bron
van ergernis is tevens de salarissen van de bestuurders van onze
overheidsvennootschappen. Ook blijkt men opeens doende om weer een nieuwe
overheidsvennootschap het leven te laten zien. De leden van de Raad van Commissarissen
hebben de euvele moed getoond om tijdens een van de zwaarste periodes waar Curaçao
de laatste decennia doorheen gaat om verhoging te vragen van hun commissarisbeloningen.
Nu is door de
Covid-19 crisis Curaçao op slot waarmee ook het toerisme en de horeca een
doodsteek hebben gekregen. Tienduizenden mensen kunnen onmiddellijk niet meer
rondkomen.
De hierboven beschreven
gebeurtenissen geven er blijk van dat onze overheid niet in staat is om
adequaat en tijdig te reageren. Laat staan dat er op situaties wordt
geanticipeerd.
Wel zijn de
ambtenaren druk doende om hun belangen te beschermen. Geen woord van empathie
ten aanzien van onze mede-burgers die nu letterlijk omkomen van de honger. Nee,
de loontrede, daar gaat het om. Dat de ambtenaren geen oog hebben voor het verwateren van hun pensioenen door aankoop van PSB Bank door het Ambtenaren Pensioenfonds Curacao (APC) welke bank dan vervolgens -als het goed begrijp- moet gaan fuseren met de technisch failliete Girobank is bepaald raadselachtig.
Curaçao is
autonoom binnen het koninkrijk. Dat is een juridische realiteit maar niet een
economische. Je kan niet met droge ogen roepen dat je autonoom bent als je niet
zelf je broek kan ophouden. Terugverwijzend naar het begin van dit verhaal; dat
is geen verwijt maar een gevolg van de schaal van Curaçao.
De verwachting is
dat binnen afzienbare tijd de ambtenarensalarissen niet meer betaald kunnen worden.
Verder geldt dat er met het uitbreken van Covid-19 zich meteen mensonterende
toestanden blijken voor te doen.
De reactie van
onze overheid is dat Nederland moet helpen. Dat moet ook en Nederland lijkt
daartoe bereid maar die hulp draagt wederom bij aan onze al veel te hoge
schuldenlast.
Het ligt voor de
hand dat Nederland niet bereid zal zijn om Curaçao telkens onvoorwaardelijk uit
de brand te helpen als zich weer een negatieve gebeurtenis voordoet.
Zelfs al doen
zich geen negatieve gebeurtenissen voor dan nog zullen wij door onze schaal en
door het te lage gemiddeld inkomen nimmer in staat zijn om daadwerkelijk
autonoom te zijn. Er zal nimmer een situatie ontstaan waarbij Curaçao eigenhandig
en met eigen middelen levensvatbaar zal zijn. Met Covid-19 niet en zonder
Covid-19 ook.
De klemmende
vraag aan onze politieke gezagsdragers is dan ook. Wat stelt u voor om
structureel te doen? Telkens pappen en nathouden is geen regeren.

Pijnlijke vergissing fiscus
Op 15 april plaatst de fiscus een advertentie in de krant met de mededeling dat de belastingen en premies over maart uiterlijk 15 april dienen te zijn aangegeven en afgedragen casu quo betaald. Dat blijkt achteraf te berusten op een vergissing. De fiscale steunmaatregelen zijn echter afgekondigd op 3 april en gelden vanaf dat moment. In het Antilliaans Dagblad wordt gesuggereerd dat de overheid dit wellicht bewust heeft gedaan omdat zij anders al niet aan haar beloftes voor baanbehoud kan voldoen. Ik zal dat laten voor wat het is maar ik hoop dat veel ondernemers even hebben gewacht met het daadwerkelijk betalen van belastingen en premies. Voor een redelijk denkende ondernemer gaat het bedrijfsbelang en het belang van zijn werknemers nu even voor.
De hele wereld heeft het moeilijk en Curacao had het al zwaar voor het uitbreken van de corona-crisis.
In dat licht gezien is het fantastisch dat Korpodeko een filmpje heeft gemaakt waarin steun wordt uitgesproken voor de werkgevers. Kleine ondernemers vormen in elke samenleving de ruggegraat of beter gezegd het fundament van de samenleving.

My take on the Corona consequences for Curacao
Some years ago I was accosted by two visionaries who saw the vulnerabilities of Curacao and presented me with solutions.
One of the vulnerabilities they envisioned was the dependency of other countries to supply Curacao with food.
The two visionaries involved had interesting and thought through ideas which they already had laid down in plans and video presentations.
I am proud to say that I was hired as their local director.
But for plans like these one of course needs government cooperation and that of a government owned company. That company was run by somebody who actually acted as managing director.
He took decisions. That of course is very dangerous in a political environment so he was fired.
The next director was more politically conscious so for him the plan of action was not to take any action.
We had closed a Memorandum Of Understanding (MOU) with said government owned company.
I see a MOU as a beginning of a relationship.
This company had made it its business to see it as the end of one. So consequently expensive accountants and lawyers were hired who talked so long about nothing the so much had lapsed that the MOU became null and void.
And there we are now. Totally dependent on the rest of the world to keep us fed and have us driving around the island.
Corona has now struck the world and also our little island. It will crush the economy as our government had immediately decided to close of the island for airplanes coming from Europe. So no more tourists.
Probably a good decision but I am wondering when the whole world is down with Corona who will bother to ship food to us and gas for our cars.
Thanks to our two visionaries who were only guilty of true love for Curacao we could have had our independence from other nations.
Now we shall probably become beggars for food and such.
I do hope however that this time I am wrong, very wrong indeed.
